Tax Loss Harvesting

Legal Disclosure

Terms, Privacy & Disclaimers

Please review these disclosures before relying on any output from TaxLossHarvesting. They explain what the platform is, what it is not, and how your data is handled.

Educational Use & No Advice

TaxLossHarvesting provides computational estimates, modeling tools, and educational content related to tax-loss harvesting. Nothing on this platform constitutes financial, tax, accounting, or legal advice, and no output should be relied upon as the sole basis for a filing decision or a securities transaction.

Tax-loss harvesting involves complex rules — including the IRS wash-sale rule (IRC §1091), holding-period adjustments, and character-of-loss rules — whose application depends on your specific facts. Always consult a qualified CPA, tax attorney, or licensed financial advisor before acting on any estimate produced here.

U.S. Investors Only

TaxLossHarvesting is designed for investors subject to U.S. federal tax law. The tax-loss harvesting rules, wash-sale treatment (IRC §1091), capital-gains rates, and carryforward mechanics referenced throughout this platform reflect U.S. federal tax law and are not applicable to tax regimes outside the United States.

If you are not a U.S. taxpayer or your portfolio is held in a non-U.S. jurisdiction, do not rely on this platform's outputs. Tax-loss harvesting rules differ materially by country, and acting on U.S.-specific logic may produce incorrect results for your circumstances. Consult a qualified advisor in your jurisdiction before taking any action.

Not an Investment Adviser

Under the Investment Advisers Act of 1940, an “investment adviser” is a person or firm that, for compensation, is in the business of providing advice about securities or issuing securities analyses. TaxLossHarvesting is not such a person and is not registered with the SEC or any state securities authority as an investment adviser.

Your subscription provides access to self-service software. The fee is for the tool and its infrastructure — not for advice about securities. We do not provide personalized recommendations, we do not analyze your situation as an advisory client, and we do not manage, hold, or take discretion over any assets.

All outputs are mechanical computations derived from information you enter — applying published IRS rules and standard tax formulas. Replacement-security suggestions are generic, non-personalized alternatives, not recommendations that any security is suitable for you. Because the platform provides non-personalized, user-driven computation rather than individualized advice, it is designed to fall outside the investment-adviser definition under Section 202(a)(11) of the Advisers Act.

Not a Broker-Dealer (FINRA)

TaxLossHarvesting is not a broker, dealer, or municipal securities dealer, and is not registered with FINRA or the SEC in any such capacity.

We do not execute, facilitate, or settle trades; we do not carry custody of customer funds or securities; and we earn no transaction-based or commission-based compensation. Brokerage connections, when used, are read-only imports of positions and balances via Plaid — we never place orders, move assets, or write back to your account.

No content on this platform constitutes a recommendation, solicitation, or offer to buy, sell, or hold any security. You are solely responsible for executing any transaction through your own licensed broker.

Not a Tax Preparer (IRS)

TaxLossHarvesting is not affiliated with, endorsed by, or authorized by the Internal Revenue Service (IRS), and is not a registered tax return preparer. Form 8949, Schedule D, estimated-tax voucher, and 1099-B reconciliation outputs generated by this platform are provided for informational purposes only and are not a substitute for reviewing official IRS forms, instructions, and publications.

Tax rules referenced throughout this platform — including the wash-sale rule (IRC §1091), capital-loss netting (IRC §1212), the $3,000 ordinary-income offset, and the §6654 estimated-tax safe harbor — reflect U.S. federal tax law as generally understood but may not capture every limitation, election, or recent change applicable to your situation. Always verify generated figures against official IRS guidance and consult a qualified CPA or tax attorney before filing.

No Fiduciary Relationship

Use of TaxLossHarvesting does not create an advisor-client, fiduciary, or any other professional relationship between you and TaxLossHarvesting. We are a software provider, not a registered investment advisor or tax preparer. We do not monitor your portfolio, execute trades, or owe you a continuing duty of care.

All harvesting decisions — including which lots to sell, which replacement securities to select, and when to swap back — are made by you. The platform surfaces opportunities and computes projected outcomes; it does not recommend any specific trade as suitable for your situation.

Data Residency & Storage

Your account data — portfolio positions, household holdings, harvest events, and subscription records — is stored on the platform's managed cloud infrastructure and is isolated to your account via row-level security. Other users cannot read, modify, or enumerate your records.

Brokerage connections are established through Plaid with read-only access. We retrieve positions and balances for import; we do not place trades, move funds, or write back to your brokerage account. Connection credentials are never entered on our domain and are not shared across users.

Market-price data is served from a shared cache that contains only public ticker metadata (no personal information) and is readable by all users to keep lookups fast.

Security & Access Controls

Subscription entitlement is verified server-side against a verified payment record on every request to gated features — it cannot be self-granted by editing a client-side field.

All sensitive actions (subscription grant, soft-cancel, revoke, broker connection) are recorded in an append-only audit log accessible only to workspace administrators.

Public price endpoints are rate-limited per client to prevent abuse, and upstream market-data failures degrade gracefully to the last cached price rather than failing open.

Refund Policy

We stand behind TaxLossHarvesting. If the platform does not meet your expectations, you may request a full refund of your first subscription payment under the terms below — no phone call required.

Eligibility window. Monthly subscriptions are refundable within 7 days of the payment that grants access. Annual subscriptions are refundable within 14 days of the payment that grants access. The window is measured from the moment your payment is confirmed (the order-approved timestamp), not from when you first sign in.

First payment only. The refund guarantee applies to your initial subscription purchase. Recurring renewal charges are non-refundable, because you have already received a full billing cycle of access. To avoid a renewal you no longer want, cancel your subscription before the next billing date — cancellation preserves access through the end of the paid cycle and prevents the next charge.

One refund per customer. Each customer is entitled to one lifetime refund. This prevents the cycle of subscribing, exporting reports, and refunding repeatedly. If you have already received a refund under this policy, subsequent subscription payments are final.

Full refund, original method. Approved refunds are returned in full to the original payment method (your card on file). Partial refunds are not offered under the self-service guarantee. Refunds typically appear on your card statement within 5–10 business days, depending on your bank.

How to request. Submit a refund request from the Account page. You will select the order, choose a reason, and acknowledge that approval revokes all paid access immediately. Requests are reviewed by our team and are not auto-processed, so that we can confirm eligibility and prevent abuse.

Effect of approval. When your refund is approved, all paid subscription access — regardless of tier (Starter, Pro, or Wealth) — is revoked immediately, and all associated subscription services are canceled. You retain your account and saved data, but gated features become inaccessible. You may re-subscribe at any time; a later subscription is not eligible for a second refund.

Outside the window. If your payment falls outside the eligibility window, the self-service guarantee no longer applies, but you may still contact us through the Support page. We review exceptional circumstances — such as billing errors or duplicate charges — on a case-by-case basis.

Chargebacks. We ask that you contact us first. Filing a chargeback before submitting a refund request may delay resolution and, in cases of clear abuse, can result in account suspension. Our team processes refund requests promptly and in good faith.

Account suspension for disputes. If you file a payment dispute (chargeback) with your bank or card issuer before contacting us through the Support or Account page, we reserve the right to suspend your account pending resolution. A chargeback filed in good faith after a genuine billing error, and resolved through our refund process, will not result in suspension. However, chargebacks that bypass the refund process entirely, or that are filed after a refund has already been approved or denied under this policy, may be treated as bad-faith disputes and can result in permanent account closure with no further refund eligibility. This is because every chargeback costs us a non-refundable processor fee regardless of outcome, while a refund request costs you nothing and is typically resolved faster. Suspending an account does not forfeit any refund you are legitimately owed under this policy, it simply pauses paid access while the dispute is investigated.

Limitation of Liability

TaxLossHarvesting and its outputs are provided "as is" without warranty of any kind, express or implied, including accuracy, completeness, or fitness for a particular purpose. Market data is sourced from third parties and may be delayed, incomplete, or occasionally incorrect.

To the maximum extent permitted by law, TaxLossHarvesting shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the platform or reliance on any estimate it produces, including tax penalties, disallowed losses, or investment outcomes.

Subscription Auto-Renewal

All paid plans automatically renew at the end of each billing cycle (monthly or annual) until you cancel. Canceling your subscription stops the next renewal charge, it does not refund the current cycle. You keep full access through the end of the period you have already paid for, then revert to the Free plan automatically.

You can cancel at any time from the Account page or by contacting support before your next billing date. We are not obligated to send a renewal reminder, though we may choose to do so as a courtesy.

Price Changes

We may change our subscription pricing at any time. Existing subscribers are locked in at their current rate until their next renewal date. If the new price is higher, it applies only at your next renewal, and we will notify you at least 30 days in advance at the email on your account.

If you do not agree to the new price, you may cancel before the renewal date and avoid the charge. Continued use after the renewal date at the new price constitutes acceptance of the updated pricing.

No Proration of Mid-Cycle Cancellations

Cancellation takes effect at the end of your current billing cycle, not immediately. We do not issue partial or pro-rated refunds for the unused portion of a billing period you have already paid for, because you retain full access through the end of that period.

This is standard for subscription software and is disclosed at checkout and on the Account page. If you cancel and then change your mind, you may re-subscribe at any time, but the new subscription is a new billing cycle.

Currency & Taxes

All subscription charges are billed in U.S. Dollars (USD). If your payment method is denominated in another currency, your bank or card issuer may convert the charge and may apply a foreign-exchange fee or unfavorable conversion rate. TaxLossHarvesting is not responsible for those fees or for the converted amount shown on your statement.

You are responsible for any sales tax, value-added tax, goods-and-services tax, or similar transaction taxes that apply to your purchase in your jurisdiction. Where required by law, applicable tax is included in the displayed price at checkout.

Failed Payments & Dunning

If a renewal charge fails (for example, an expired card, insufficient funds, or a declined transaction), we will retry the charge up to 3 times over approximately 15 days. You will receive an email notice before each retry and before any suspension.

If all retries fail, your subscription will be suspended and paid access will be revoked until you update your payment method and a successful charge is processed. We are not liable for any interruption of service caused by a failed payment on your end. Updating your card on file in the Wix checkout portal resumes billing immediately.

Chargeback Dispute Evidence

If you file a chargeback with your bank or card issuer, we reserve the right to submit evidence to challenge the dispute. This evidence may include your acceptance of these terms, your usage logs, delivery confirmation showing you received access to the platform, the checkout record, and any prior refund requests or correspondence.

Submitting a chargeback before contacting us does not entitle you to a refund any faster, and as described in the Refund Policy, it may result in account suspension. We process refund requests promptly and in good faith, and a refund costs you nothing, while a chargeback costs both parties time and a non-refundable processor fee.

Right to Refuse or Terminate Service

We reserve the right to refuse service, suspend, or terminate any account at our discretion if we determine that the account is being used for fraud, abuse, or any violation of these terms. This right is separate from and in addition to the refund policy.

If we terminate your account for cause (fraud, abuse, or violation of these terms), no refund is owed. If we terminate your account for our own reasons unrelated to your conduct, you will receive a pro-rated refund of the unused portion of your current billing cycle.

Acceptable Use

You agree not to: (a) scrape, crawl, or otherwise extract data from the platform at scale; (b) reverse engineer, decompile, or disassemble any part of the platform; (c) share your account credentials or allow multiple people to use a single subscription; (d) resell, sublicense, or redistribute access to the platform or its outputs to third parties; (e) use the platform's outputs to provide investment advisory, tax preparation, or brokerage services to third parties; or (f) use the platform in any manner that could damage, disable, overload, or impair the platform or interfere with another user's use.

Violation of these acceptable-use terms may result in immediate account suspension or termination without refund, and we reserve the right to pursue legal remedies for serious or repeated violations.

Account Security

You are responsible for safeguarding the credentials used to access your account and for all activity that occurs under your account. Use a strong, unique password and do not share it. We strongly recommend enabling any two-factor authentication offered by your login provider.

If you become aware of any unauthorized access to your account, you must notify us immediately through the Support page. We are not liable for any loss arising from unauthorized access that results from your failure to protect your credentials, but we will act promptly to secure your account once notified.

Service Availability

The platform is provided on an "as available" basis. We do not guarantee uninterrupted or error-free access, and we are not liable for temporary outages, scheduled maintenance, or interruptions caused by our cloud infrastructure or upstream data providers.

We aim to maintain high availability and will use reasonable efforts to restore service promptly after any outage, but we do not commit to a specific uptime percentage or service-level agreement under the current subscription tiers. Critical incidents are logged in our audit system and reviewed by the team.

Third-Party Data Accuracy

Market price data is sourced from third-party providers (such as Yahoo Finance for equities and Coinbase for cryptocurrencies) and may be delayed, incomplete, or occasionally incorrect. Sparkline history, 24-hour change figures, and cached prices reflect the last successful fetch and may not match a live quote from your broker.

TaxLossHarvesting is not liable for any trading decision, tax filing, or financial outcome based on price data shown on the platform. Always verify prices and positions against your broker or a primary data source before executing any transaction. The platform's computations are only as accurate as the inputs you provide and the upstream data we receive.

Indemnification

You agree to indemnify and hold harmless TaxLossHarvesting and its operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform or reliance on any output it produces; (b) your own trading, tax, or financial decisions; (c) your violation of these terms; or (d) your violation of any law or the rights of a third party.

We reserve the right to assume the exclusive defense of any matter for which you are obligated to indemnify us, in which case you will cooperate with us in asserting any available defenses. This indemnification obligation survives the termination of your account.

Governing Law & Jurisdiction

These terms and any dispute arising from your use of TaxLossHarvesting are governed by the laws of the United States and the State of Delaware, without regard to its conflict-of-law principles. You and TaxLossHarvesting agree that the exclusive jurisdiction for any claim or dispute lies in the state or federal courts located in Delaware.

This platform is intended for use by investors subject to U.S. federal tax law. If you access the platform from outside the United States, you do so at your own initiative and are responsible for compliance with any applicable local laws. We make no representation that the platform is lawful or appropriate for use in any jurisdiction outside the United States.

Changes to These Terms

We may update these terms from time to time. Material changes will be posted on this page with an updated effective date. For changes that materially affect existing subscribers (such as pricing, refund eligibility, or data practices), we will also provide notice at the email on your account at least 30 days before the change takes effect.

Your continued use of the platform after the effective date of any change constitutes acceptance of the updated terms. If you do not agree to a change, you may cancel your subscription before the effective date, and the prior terms will govern through the end of your current billing cycle.

Account Termination

You may close your account at any time by contacting us through the Support page. On closure, your access to paid features ends at the end of your current billing cycle, and no further charges are made.

We may terminate or suspend your account if you violate these terms, if we are required to do so by law, or if we discontinue the platform entirely. If we terminate for our own reasons unrelated to your conduct, you will receive a pro-rated refund of the unused portion of your current billing cycle. If we terminate for cause (your violation of these terms), no refund is owed.

Data Retention & Deletion

After you close your account, we retain your account data (portfolio positions, harvest events, household holdings, and subscription records) for 90 days to allow for account restoration and to fulfill any pending refund or audit requests. After 90 days, your data is permanently deleted from our active systems.

You may request earlier deletion of your data by contacting us through the Support page. We will delete your personal data within 30 days of a verified request, except where we are legally required to retain certain records (such as transaction records for tax or accounting compliance). Audit log entries are retained indefinitely as required for security and compliance.

Force Majeure

TaxLossHarvesting is not liable for any failure or delay in performance caused by events outside our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, internet or telecommunications outages, failures of our cloud infrastructure provider, failures of upstream market-data providers (Yahoo Finance, Coinbase), power outages, or government actions.

If a force-majeure event lasts more than 30 consecutive days, either party may terminate the subscription, and you will receive a pro-rated refund of the unused portion of your current billing cycle. We will use reasonable efforts to resume service as soon as the event ends.

Severability

If any provision of these terms is found by a court of competent jurisdiction to be unenforceable, invalid, or illegal, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No waiver of any provision of these terms will be effective unless in writing and signed by us, and no failure to enforce any provision will constitute a waiver of any future enforcement of that or any other provision.

Entire Agreement

These terms, together with the Refund Policy and any other policies referenced on this page, constitute the entire agreement between you and TaxLossHarvesting with respect to your use of the platform, and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.

If any part of these terms conflicts with a separately negotiated enterprise agreement you have signed with TaxLossHarvesting, the enterprise agreement controls. Section headings are for convenience only and do not affect the interpretation of these terms.

Privacy Policy

TaxLossHarvesting collects only the information necessary to provide the service: your email address (for authentication and account communication), portfolio positions and household holdings you enter or import via Plaid, harvest events you record, and subscription and payment records processed by our payment provider.

We do not sell, rent, or share your personal data with third parties for marketing purposes. Your portfolio and harvest data is isolated to your account via row-level security and is never accessible to other users. Payment card details are handled entirely by our payment provider and are never stored on our servers.

We retain account data for the lifetime of your account, and for 90 days after closure to allow for restoration and pending refund or audit requests, after which it is permanently deleted. Audit log entries are retained indefinitely for security and compliance. You may request earlier deletion of your data through the Support page.

We use aggregated, de-identified analytics to understand how the platform is used and to improve it. These analytics cannot be traced back to an individual user. We do not build individual profiles for advertising or sell behavioral data to data brokers.

If you have questions about your data or wish to exercise a data access or deletion request, contact us through the Support page and we will respond within 30 days.

Accessibility Statement

TaxLossHarvesting is committed to making its platform accessible to all users, including those with disabilities. We are actively working to conform to the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA, the standard referenced by the Americans with Disabilities Act (ADA) for digital accessibility.

Measures we have implemented include: semantic HTML with a logical heading structure, programmatic label associations on all calculator and checkout forms, visible keyboard focus indicators on all interactive elements, a skip-to-main-content link, ARIA landmarks and live regions for dynamic calculator results, screen-reader-aware navigation states (aria-current) on the sidebar, a proper radiogroup pattern for lot-method selection, and a high-contrast color palette in both light and dark themes. Our interactive UI components are built on Radix primitives, which provide keyboard navigation and ARIA support out of the box.

We recognize that accessibility is an ongoing effort, not a one-time checklist. All accessibility gaps identified in our most recent audit have been addressed, and we continue to monitor the platform for new barriers as features are added. If you encounter an issue we missed, please report it through the Support page and we will investigate promptly.

If you encounter a barrier that prevents you from using the platform with assistive technology, please contact us through the Support page with a description of the issue and the page or feature where it occurred. We will investigate and work to resolve it promptly. Accessibility feedback is welcome and helps us improve the platform for everyone.

This disclosure is updated as of 2026. It is a summary of the platform's terms and practices and is not a substitute for a fully negotiated enterprise agreement, which is available to institutional buyers on request.
